Chef Partner Agreement

This Chef Partner Agreement ("Agreement") is entered into between:

Luxo Chef Technologies ("Luxo Chef," "Company," "we," "our," or "us"), and

The individual or entity registering as a chef partner on the Luxo Chef Platform ("Chef Partner," "Chef," or "you").

By registering on the Luxo Chef app or accepting bookings through the Platform, you agree to be legally bound by this Agreement.

1. Purpose of the Platform

Luxo Chef operates a technology platform that connects customers with independent chefs who provide in-home cooking services.

Luxo Chef does not provide cooking services directly. The Platform facilitates:

• Booking management
• Payment processing
• Communication tools
• GPS tracking
• Administrative support

2. Independent Contractor Status

The Chef Partner is an independent contractor and not an employee, agent, joint venturer, or representative of Luxo Chef.

Nothing in this Agreement creates:

• An employment relationship
• A partnership
• A franchise
• A joint venture

Chef Partners:

• Control how services are performed
• Set their availability
• Choose service areas
• May provide services outside the Platform

The Chef Partner is solely responsible for:

• Taxes (income, HST/GST, CPP, etc.)
• Insurance
• Licensing requirements
• Compliance with food safety regulations

Luxo Chef does not provide employee benefits, insurance, or workers' compensation coverage.

3. Commission Structure & Payments

For each completed booking:

• Luxo Chef will deduct a platform commission equal to 25% of the total booking amount
• The Chef Partner will receive 75% of the total booking amount

Commission is deducted automatically through the Platform before payout. Chef Partners are entitled to retain 100% of customer tips provided through the Platform or directly.

Payments are:

• Processed through the Luxo Chef app
• Released after service completion and confirmation
• Subject to applicable transaction fees and chargeback reversals

Luxo Chef reserves the right to adjust commission rates upon written notice.

4. Booking Acceptance

Chef Partners:

• Are not obligated to accept every booking request
• May decline bookings at their discretion
• Must honor confirmed bookings once accepted

Repeated cancellations after confirmation may result in account suspension.

5. Service Standards

Chef Partners agree to:

• Maintain professional conduct
• Follow safe food handling practices
• Comply with local health and safety laws
• Arrive on time for confirmed bookings
• Leave the kitchen in clean and orderly condition

Chef Partners are responsible for the quality and execution of their services.

6. Insurance & Liability

Chef Partners are solely responsible for obtaining and maintaining:

• General liability insurance
• Professional liability coverage (if applicable)
• Any legally required permits or certifications

Luxo Chef is not responsible for:

• Food-related illness
• Allergic reactions
• Property damage
• Injuries occurring during service
• Disputes between Chef and Customer

Chef Partners agree to indemnify and hold harmless Luxo Chef from claims arising out of service performance, negligence or misconduct, or violation of laws.

7. Customer Relationships

All customer relationships originate through the Luxo Chef Platform.

Chef Partners agree not to:

• Circumvent the Platform
• Solicit customers for off-platform transactions
• Share personal contact information for the purpose of avoiding platform fees

Circumvention may result in:

• Immediate termination
• Forfeiture of unpaid earnings
• Legal action

8. Taxes & Financial Responsibility

Chef Partners are responsible for:

• Reporting and paying all applicable taxes
• Registering for HST/GST if required
• Issuing invoices if legally required

Luxo Chef does not withhold taxes.

9. Ratings & Performance Monitoring

Luxo Chef may:

• Collect customer reviews
• Monitor service quality
• Suspend or deactivate accounts for poor ratings, complaints, or policy violations

Luxo Chef reserves sole discretion in determining platform access.

10. Confidentiality

Chef Partners agree not to disclose:

• Platform business practices
• Customer information
• Pricing models
• Technology features

Confidential information may not be used outside Platform activities.

11. Intellectual Property

The Luxo Chef name, branding, logos, and technology remain the exclusive property of Luxo Chef Technologies. Chef Partners may not use Luxo Chef branding outside approved promotional purposes.

12. Term & Termination

This Agreement remains in effect until terminated. Either party may terminate at any time.

Luxo Chef may suspend or deactivate a Chef Partner for:

• Policy violations
• Fraud
• Repeated cancellations
• Safety concerns
• Circumvention

Upon termination, outstanding eligible payments will be processed subject to dispute review.

13. Dispute Resolution

This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada.

Any disputes shall be resolved through:

• Good-faith negotiation
• Binding arbitration in Ontario, Canada

Chef Partners waive participation in class-action claims.

14. Limitation of Liability

To the maximum extent permitted by law, Luxo Chef shall not be liable for:

• Loss of income
• Loss of opportunity
• Indirect or consequential damages

Luxo Chef's total liability shall not exceed the total commission earned from the Chef Partner in the preceding three (3) months.

15. Amendments

Luxo Chef may modify this Agreement upon notice through the Platform. Continued use constitutes acceptance of revised terms.

16. Entire Agreement

This Agreement constitutes the entire understanding between Luxo Chef and the Chef Partner and supersedes prior communications.
